Unwired Logic Ads Conversion Tracking

These Terms of Service ("Terms") govern your use of Unwired Logic Ads Conversion Tracking (the "Service"), provided by Unwired Logic K.K. ("Unwired Logic", "we", "us"). By installing, enabling, or using the Service on a supported platform, you ("you", the "operator") agree to these Terms. If you do not agree, do not install or use the Service.

1. Description of the service

The Service is delivered as integrations (add-ons) for business platforms - such as Storeganise, Zendesk, Pipedrive, and respond.io - and uploads offline conversion events from your connected platform to your own Google Ads and/or Meta advertising accounts, to help you measure advertising performance. The Service acts on your behalf and under your instruction.

2. Eligibility and accounts

To use the Service you must have an active account on a supported platform and connect advertising accounts that you own or are authorized to manage. You are responsible for maintaining the confidentiality of your accounts and for all activity that occurs through your connected accounts.

3. Connecting third-party accounts

The Service integrates with third-party services, including Google Ads, Meta, and the business platform you connect it to. Your use of those services remains subject to their respective terms and policies, including the Google Ads API and advertising policies and Meta's Business Tools terms. You are responsible for ensuring your use of conversion data complies with those policies and with applicable law (including obtaining any consent required from your visitors/customers).

4. Acceptable use

You agree to use the Service only to upload conversion events for advertising accounts you are authorized to manage, and not to: misuse or attempt to gain unauthorized access to the service; upload unlawful, fraudulent, or misattributed conversion data; or interfere with the operation or security of the service.

5. Data and privacy

Our handling of information in connection with the Service is described in our Privacy Policy. You are the controller of your operator and customer data; we process it on your behalf to provide the Service.

6. Availability and changes

We may modify, suspend, or discontinue the Service (in whole or in part) at any time. Third-party APIs may change or become unavailable, which can affect the Service's functionality.

7. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that conversion uploads will be uninterrupted, error-free, or accepted by Google or Meta.

8. Limitation of liability

To the maximum extent permitted by law, Unwired Logic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or advertising spend, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the fees you paid for the Service in the twelve months preceding the claim.

9. Termination

You may stop using the Service at any time by disconnecting or uninstalling it. We may suspend or terminate your access if you breach these Terms or misuse the service. On termination, we delete your connected-account credentials as described in the Privacy Policy.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles.
